Acceptance of Terms

By accessing or using Lights Out Lab ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Lights Out Lab. We may update these Terms from time to time. Continued use of the Service after any changes constitutes your acceptance of the revised Terms.

You must be at least 13 years old to use Lights Out Lab. If you are between 13 and 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Description of Service

Lights Out Lab is an AI-powered basketball training platform that provides personalized coaching through video analysis, drill recommendations, game film breakdowns, training plan generation, and an AI chat coach. The Service is intended to supplement, not replace, in-person coaching and athletic training.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

User Accounts and Responsibilities

To access certain features of Lights Out Lab, you must create an account using a valid email address. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Ensuring the information you provide is accurate and current.
• Notifying us immediately if you suspect unauthorized access to your account.

You may not create an account on behalf of another person without their authorization, or create multiple accounts to circumvent limitations or bans.

Lights Out Lab reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are determined to be abusive.

Subscription Plans and Billing

Lights Out Lab offers the following subscription tiers:

• Starter (Free): Limited access to the Drill Library, one form analysis per month, and access to the AI Chat Coach. No payment required.
• Pro ($29/month): Unlimited form analyses, up to 3 game film analyses per month, AI training plan generation, and full drill library access.
• Elite ($79/month): Everything in Pro, plus unlimited game film analyses, priority AI processing, and extended analysis history.

Paid subscriptions are billed monthly in advance. All prices are in US dollars. By subscribing, you authorize Lights Out Lab to charge your payment method on a recurring monthly basis until you cancel.

Subscription fees are non-refundable except as described in the Cancellation and Refunds section below or as required by applicable law.

Free Trial Terms

Lights Out Lab may offer free trial periods for paid plans:

• Pro plan: 14-day free trial for new subscribers.
• Elite plan: 7-day free trial for new subscribers.

Free trials are available to new customers only. Only one free trial per person per plan. You will not be charged during your trial period. After the trial ends, your subscription will automatically convert to a paid subscription at the applicable monthly rate unless you cancel before the trial period ends.

To avoid being charged, you must cancel your subscription before the trial expiration date. Cancellation instructions are available in your account settings.

Cancellation and Refunds

You may cancel your Lights Out Lab subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access to your paid features until then.

We do not provide refunds for partial billing periods, unused time, or unused features, except:

• If you cancel within 48 hours of your first paid charge (after a free trial conversion), you may request a full refund by contacting legal@lightsoutlab.app.
• As required by applicable consumer protection laws in your jurisdiction.

If you believe you were charged in error, please contact us within 30 days of the charge at legal@lightsoutlab.app.

AI-Generated Content Disclaimer

The coaching feedback, drill recommendations, training plans, and all other content generated by Lights Out Lab's AI are for informational and motivational purposes only. They do not constitute professional athletic training, medical, or physical therapy advice.

By using Lights Out Lab, you acknowledge and agree that:

• AI-generated coaching is not a substitute for guidance from a qualified coach, trainer, or medical professional.
• You assume all risk associated with any physical activity you undertake in connection with the Service.
• Lights Out Lab is not responsible for any injury, illness, or physical harm that may result from following AI-generated recommendations.
• If you have a medical condition, injury, or physical limitation, you should consult a qualified healthcare provider before beginning any training program.
• AI analysis of video may not be 100% accurate and should be used as a supplement to, not a replacement for, qualified coaching judgment.

User Content

When you upload videos or other content to Lights Out Lab ("User Content"), you retain full ownership of that content. By uploading User Content, you grant Lights Out Lab a limited, non-exclusive, royalty-free license to process and analyze your content solely for the purpose of providing the Service to you.

This license does not permit Lights Out Lab to:

• Share your videos with other users or third parties (except as required to operate the Service).
• Use your videos for advertising or marketing purposes.
• Train AI models on your personal video content.

You represent and warrant that your User Content does not violate any third-party rights, applicable laws, or these Terms. You are solely responsible for your User Content.

By using the Service, you agree not to upload content that is illegal, harmful, threatening, abusive, defamatory, or that violates the intellectual property rights of others.

Prohibited Uses

You agree not to use Lights Out Lab for any of the following purposes:

• Attempting to reverse-engineer, decompile, or extract source code from any part of the Service.
• Using automated tools, bots, scrapers, or scripts to access or extract data from the Service without our express written consent.
• Circumventing plan limitations, usage caps, or access controls through technical means.
• Sharing account credentials or giving others unauthorized access to your account.
• Uploading malicious code, viruses, or any software intended to harm the Service or other users.
• Using the Service in any way that violates applicable local, state, national, or international laws.
• Impersonating Lights Out Lab, our employees, or other users.
• Using the Service to develop a competing product without our written permission.

Violation of these prohibitions may result in immediate account termination without refund.

Intellectual Property

All content on the Lights Out Lab platform that is not User Content — including the Lights Out Lab name and logo, website design, drill library content, AI-generated coaching templates, training plan structures, and software code — is owned by or licensed to Lights Out Lab and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial training purposes. You may not copy, reproduce, distribute, or create derivative works from any Lights Out Lab content without our express written permission.

Limitation of Liability

To the fullest extent permitted by applicable law, Lights Out Lab and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to:

• Physical injury or property damage resulting from athletic training activities.
• Loss of data or analysis history.
• Unauthorized access to your account.
• Service interruptions or technical failures.
• Errors or inaccuracies in AI-generated coaching content.

In no event shall Lights Out Lab's total liability to you for all claims exceed the greater of (a) the amount you paid to Lights Out Lab in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so the above limitations may not apply to you.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or usefulness of any AI-generated coaching content.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Ohio. You consent to personal jurisdiction in those courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page with a new "Last updated" date. For material changes, we will make reasonable efforts to notify you (for example, by email or a notice in the app).

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
